AMT II Corporation

An International Technology Company

AMT II Corporation is a private investment and management firm. It is a Delaware Corporation with offices in New York City, Washington D.C., Wichita, Las Vegas, and southern California. The company was founded after its predecessor The American Materials & Technologies Corporation (Nasdaq: AMTK) (AMTI), was sold to Cytec Industries in 1998 in an all stock transaction. AMT II recently monetized its 2004-2005 investments and is forming AMT III as a holding company for future acquisitions. AMT II will remain as an investment and management company and will continue as the lead investor in AMT III. From 2007 and going forward, this new entity is investing along with selected equity partners in companies within the aerospace, advanced carbon fiber composites (with emphasis on aerospace and defense applications), and specialized chemicals.

We are experienced in manufacturing, marketing and global financing. Our founding partners have run firms in the Americas, Europe, Africa, and Asia.

Our experience and capital is combined with our proven management team, working successfully FOR SEVERAL DECADES TO GROW BUSINESSES seeking the next phase of equity ownership. We acquire or recapitalize manufacturers in specialty or niche markets. Our investment models include management buyouts, recapitalizations, corporate spin-offs, and “buy-to-build” strategies. Our target acquisition size is usually up to $100 MM or with partners, up to $500 MM. We are not a hedge fund, or a traditional private equity fund in that every one of our principals has significant “ hands-on” operating and management experience.
